For Qualified Investors or Corporate Qualified Investors as described in section 2.3 of Canadian Instrument NI 45-106, when the person satisfies one of the following financial tests:

(d) a person registered under the securities laws of a jurisdiction of Canada as a dealer, mutual fund dealer or exempt market dealer;

(j.) an individual who, alone or together with his or her spouse, beneficially owns financial assets having an aggregate pre-tax realizable value of more than $1,000,000, net of related debts

(j.1.) an individual who beneficially owns financial assets with an aggregate pre-tax realizable value of more than $5,000,000, net of related debts

(k.) an individual who, in each of the last 2 calendar years, had a net income before tax of more than $200,000 or, with his spouse, of more than $300,000 and who, in one or otherwise, reasonably expects to exceed such net income in the current calendar year

(l.) an individual who alone or together with his or her spouse has net assets of at least $5,000,000.

(m) a person, other than an individual or an investment fund, who has net assets of at least $5,000,000 according to their most recent financial statements

(t) a person in respect of whom all those who have beneficial ownership, direct, indirect or beneficial (except voting securities which directors are required to hold by law), are qualified investors

(w) a trust created by an accredited investor for the benefit of relatives, of which the majority of the trustees are accredited investors, and all of the beneficiaries the spouse, former spouse, father and mother, grandparents, brothers, sisters, children or grandchildren of the accredited investor, spouse or former spouse.
